Agreement and eligibility
These Terms of Service (the “Terms”) are an agreement between you and Module Prep LLC (“Module Prep,” “we,” “us,” or “our”) governing your use of moduleprep.com, the mod web and mobile applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
If you use the Service for a tutoring center or another organization (a “Center”), you represent that you are authorized to accept these Terms for that Center. If the Center has an order form, subscription, pilot agreement, data-processing agreement, or other written agreement with Module Prep (an “Order”), that Order controls to the extent it conflicts with these Terms.
You must be able to form a binding contract where you live. If you are under the age of majority, a parent, guardian, or authorized Center must approve your use. Children under 13 may use the authenticated Service only after the notice, authorization, and consent steps required for that account have been completed. Children under 13 may not create an account independently.
The Service
mod helps tutoring programs assign SAT and ACT practice, collect structured learning evidence, identify patterns, recommend follow-up work, and present role-appropriate progress information. Recommendations are decision support. Authorized staff may inspect, modify, pause, or override them, and users remain responsible for educational decisions.
Module Prep is not affiliated with or endorsed by the College Board or ACT Education Corp. The Service does not administer an official SAT or ACT, guarantee a score, admission, scholarship, or other outcome, or replace a qualified tutor, educator, counselor, or testing authority. Any score ranges, readiness indicators, or projections in the Service are directional Module Prep outputs unless expressly identified otherwise.
We may provide preview, beta, demo, or pilot features. Those features may be incomplete, change, or be discontinued and should not be relied on as a permanent record unless the Service expressly says they are saved. The public demo uses fixture data and is separate from authenticated accounts.
Accounts and Center responsibilities
You must provide accurate information, keep credentials confidential, use only the account and role assigned to you, and promptly report suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Module Prep.
Centers are responsible for:
- authorizing owners, managers, tutors, students, and linked parents and removing access when it is no longer appropriate;
- providing lawful instructions and all notices, permissions, and consents they are responsible for obtaining, including for student information and minors;
- ensuring submitted rosters, notes, records, screenshots, materials, and relationship data are accurate and lawfully provided;
- using role-specific reports and staff-only notes appropriately; and
- complying with applicable education, employment, privacy, accessibility, consumer-protection, and recordkeeping obligations.
Module Prep may rely on account roles and Center instructions that appear valid. Platform administration does not give Module Prep personnel unrestricted access to a Center's learning evidence.
Acceptable use
You may not, and may not help others to:
- use the Service unlawfully, deceptively, abusively, or in a way that violates another person's rights;
- access another account, Center, student record, answer key, restricted assessment content, or system without authorization;
- upload malware, exploit vulnerabilities, bypass security or rate limits, probe tenant boundaries, or interfere with the Service;
- scrape, bulk-download, republish, sell, or create a competing question bank from Service content except as an Order expressly allows;
- reverse engineer or attempt to extract source code, models, recommendation weights, or nonpublic data except where law prohibits this restriction;
- submit content you do not have the right to use, including confidential student records or copyrighted test material obtained without permission;
- misrepresent identity, role, student performance, completion, consent, or authority; or
- use the Service to shame, discriminate against, unlawfully surveil, or make high-stakes decisions about a student without appropriate human review.
Reasonable educational accommodations, authorized security testing under a written program, and rights that cannot legally be restricted are not prohibited.
Content, data, and licenses
Module Prep materials
The Service, software, designs, question content, explanations, taxonomies, reports, recommendation logic, and other Module Prep materials are owned by Module Prep or its licensors and are protected by intellectual-property laws. Subject to these Terms and any Order, Module Prep grants you a limited, nonexclusive, nontransferable, revocable license to use the Service for its intended educational and Center operations purposes.
Your content
You retain any rights you have in information and material you or your Center submit (“User Content”). You grant Module Prep a worldwide, nonexclusive license to host, copy, process, display, transmit, and create technical or analytical derivatives of User Content only as needed to provide, secure, support, and improve the Service, comply with law, and fulfill the applicable Order and Privacy Policy. This license ends when the content is deleted from active systems, except for lawful backups, audit records, de-identified data, and records we must retain.
You represent that you have the rights and authority needed to provide User Content. Do not submit official test content, sensitive personal information, or confidential records unless the Service requests it for an authorized purpose and you have permission.
Feedback and de-identified information
If you give us product feedback, we may use it without restriction or compensation. We may use information that has been de-identified or aggregated so it cannot reasonably identify a person or Center, subject to applicable law and our contractual commitments. We do not claim ownership of identifiable student learning records.
Third-party services
The Service may connect to third-party services such as Google Calendar or Stripe and may link to external resources such as Desmos. Your use of those services is also governed by their terms and privacy policies. Module Prep is not responsible for a third party's service, content, availability, or independent actions.
When you authorize an integration, you instruct us to exchange the information needed for that integration. You may disconnect an optional integration, but previously exported information may remain in the third-party service until deleted there.
Fees, billing, and Service changes
Fees, seat limits, subscription periods, renewal, taxes, cancellation, and refund terms are stated in the applicable Order or purchase flow before a charge. You authorize the applicable payment provider to charge the payment method selected. Except where an Order or law says otherwise, fees already paid are nonrefundable.
We may change the Service and may update or discontinue features. We will provide notice required by an Order or applicable law when a change materially reduces paid functionality. We may update these Terms by posting a revised version and changing the effective date. If a change materially affects your rights, we will provide additional notice where required. Continued use after the effective date means you accept the revised Terms; if you do not agree, stop using the Service.
Suspension and termination
You may stop using the Service at any time. A Center may suspend or remove accounts it controls. Module Prep may suspend or terminate access if reasonably necessary to address a Terms violation, nonpayment, security or legal risk, harm to users or the Service, or an ended Order. When practical, we will give notice and an opportunity to cure.
Upon termination, your right to use the Service ends. Data access, export, retention, and deletion are governed by the Privacy Policy, the applicable Order, Center instructions, and law. Provisions that by their nature should survive termination do survive, including ownership, payment obligations, disclaimers, limitations of liability, and general terms.
Disclaimers and liability
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Module Prep disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Service will always be uninterrupted, error-free, secure, or that every recommendation or item will be suitable for every student.
Nothing in these Terms limits rights or warranties that cannot be excluded under applicable law.
To the maximum extent permitted by law, neither Module Prep nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or educational opportunities, arising from the Service. Module Prep's total liability for all claims arising from the Service will not exceed the greater of $100 or the amount paid to Module Prep for the affected Service during the 12 months before the event giving rise to the claim.
The exclusions and limit above do not apply where prohibited by law or to liability that cannot legally be limited. An Order may state different remedies or limits for a Center.
Center indemnity
To the extent permitted by law, a Center will defend and indemnify Module Prep and its personnel against third-party claims arising from the Center's unlawful User Content, lack of required authority or consent, or material violation of these Terms. This obligation does not apply to the extent a claim was caused by Module Prep's breach, negligence, or willful misconduct.
General terms
Disputes. Before filing a claim, please contact hello@moduleprep.com and give us 30 days to try to resolve it informally. The law and forum specified in an applicable Order control. If there is no Order, applicable law determines the governing law and proper forum. These Terms do not require arbitration or waive participation in a class action.
Notices. You agree that we may send Service notices electronically to the email associated with your account or through the Service. Legal notices to Module Prep must be sent to hello@moduleprep.com unless an Order provides another address.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law.
Entire agreement; severability; waiver. These Terms, the Privacy Policy, and any applicable Order are the entire agreement about the Service. If a provision is unenforceable, it will be modified only as much as necessary and the rest will remain effective. A failure to enforce a provision is not a waiver.
